Board Crisis at Africa Bitcoin Corp: Four Directors Resign Following Shareholder Showdown

BUSINESS

In a major governance blow to South Africa’s first JSE-listed Bitcoin treasury company, four directors of Africa Bitcoin Corporation (ABC) have resigned simultaneously following an aggressive push by a majority shareholder group to force them out.

The departures, effective 9 October 2026, leave the company with just two directors, triggering an urgent regulatory scramble to restore board composition in line with JSE and Companies Act requirements.

Shareholder Revolt Triggers Mass Departure

According to an official Stock Exchange News Service (SENS) announcement published via Moneyweb, the departures followed a supplementary demand letter from WGW Capital, which holds roughly 71.8% of ABC’s ordinary shares. WGW demanded an extraordinary general meeting to formally vote on removing the four directors.

The resigning board members are:

  • Norma Sephuma: Independent Non-Executive Chair

  • Stafford Masie: Interim CEO, Executive Director, and Director of Bitcoin Strategy

  • Snowy Masakale: Independent Non-Executive Director

  • GG Alcock: Independent Non-Executive Director

The departing directors cited irreconcilable “material differences” between themselves and WGW Capital. Sephuma and Masakale also stepped down from the board of ABC’s subsidiary, Altvest Credit Opportunities Fund.

Masie, the former Google Africa executive who assumed the interim CEO role on 31 August, will step down completely as CEO and director of bitcoin strategy on 28 February 2027. He will remain in an executive management capacity until then to ensure operational continuity and facilitate a transition to permanent leadership.

Regulatory Fallout and Former Leadership Ties

The shareholder showdown comes against the backdrop of severe regulatory enforcement by South Africa’s Financial Sector Conduct Authority (FSCA). In September, the regulator issued a 20-year debarment and financial penalties against ABC’s founder and former CEO, Warren Wheatley, over alleged share price manipulation dating back to 2022.

While the FSCA made no adverse findings against ABC itself, the administrative actions destabilized the company’s executive layer. Wheatley resigned as a director on 31 August and relinquished his CEO position on 21 September.

Despite his departure, Wheatley retains significant influence: WGW Capital is wholly owned by the WGW Family Trust, whose beneficiaries include Wheatley and his immediate family. Wheatley and co-accused executives dispute the FSCA’s findings and are seeking a review before the Financial Services Tribunal.

Non-Compliance Risk and Operational Next Steps

The resignations leave ABC with only two directors: Independent Non-Executive Director Robin Coode and Financial Director Jonathan Phillips.

Under South African company law and JSE Listings Requirements, public companies must maintain a minimum of three directors. Coode and Phillips are currently working with corporate advisors to reconstitute the board and audit committees.

Because the four directors resigned voluntarily, the proposed shareholder resolutions to remove them are now moot. However, an earlier demand from WGW Capital calling for the appointment of two new non-executive directors remains pending. The former board had previously acknowledged the validity of that requisition but refused to endorse the proposed candidates on governance and regulatory integrity grounds. That shareholder meeting will still be convened.

Corporate Outlook

Formerly known as Altvest Capital, Africa Bitcoin Corporation made headlines by becoming the continent’s first publicly traded company to adopt Bitcoin as its core treasury reserve asset. Positioned as a Bitcoin-backed SME growth accelerator, the company last reported holding 5.5331 BTC following purchases in May 2026.

Market participants are now closely monitoring whether ABC can stabilize its governance structure and rebuild institutional trust without derailing its core operational mandate.
