Africa Bitcoin Corporation CEO Debarred by FSCA. Stafford Masie Steps In as Interim CEO.

Africa Bitcoin Corporation (JSE: BAC) faces a major leadership change. On September 2, 2026, South Africa’s Financial Sector Conduct Authority (FSCA) debarred three people connected to the company. One of them is the company’s founder and CEO, Warren Wheatley. Furthermore, Wheatley has resigned from the board with immediate effect.

The FSCA told the board about its decisions on August 30, 2026. The other two people named are Akshay Karan, the company’s chief investment officer, and Tatum Wheatley, who runs media and investor relations. The FSCA has banned all three from providing financial products or services. In addition, they cannot act as key persons at financial institutions or provide services to them.

Notably, all three disagree with the findings. They plan to apply to the Financial Services Tribunal for a review and to pause the orders. However, the tribunal has not granted a pause yet. Therefore, the bans are currently in force.

What the FSCA found, and what it did not

The FSCA has not made its decisions public. Africa Bitcoin Corporation has also not said what conduct led to the bans. Specifically, the decisions were shared in private with the people named.

However, the company made one point very clear. The FSCA did not find against any company in the Africa Bitcoin Corporation group. Furthermore, the regulator did not impose any fine or ban on any group entity. The orders apply to the three named people only.

Wheatley and Karan went on leave from their roles on August 31. The leave lasts one month initially and is subject to board review. During this time, neither of them will act on behalf of the company. Similarly, the consulting work done by Tatum Wheatley has been paused.

The board called these steps precautionary and not disciplinary. It also said the steps do not reflect its view on whether the FSCA was right.

Stafford Masie takes over as interim CEO

Stafford Masie is now interim CEO, effective immediately. He is one of the most well-known figures in South African technology. Specifically, he was Google’s first country manager in South Africa. He also founded payments startup Thumbzup and has served on the boards of Discovery Bank and Advtech.

Masie joined the company as lead independent director. In September 2025, he became executive chairman when the Bitcoin strategy was announced. Later, he moved into the role of Director of Bitcoin Strategy. Now, he steps into the CEO role from that position.

In addition, Masie will oversee the executive work at Altvest Credit Opportunities Fund, the company’s SME lending arm. However, he will not join that entity’s board.

Context: what Africa Bitcoin Corporation is

Africa Bitcoin Corporation started as Altvest Capital, a JSE-listed financial services group. In February 2025, the company bought a single Bitcoin as a test. As a result, it became the first listed company in Africa to hold Bitcoin as its main treasury asset.

Since then, the company has built up 5.5331 BTC, following a purchase on May 27, 2026. It moved from the JSE AltX to the Main Board in May 2026. Furthermore, it added listings on A2X, Namibia’s NSX, and the US OTCQB market. A planned listing on London’s Aquis Exchange has been delayed.

The company wants to hold 210,000 BTC by 2033. It models itself on Michael Saylor’s Strategy and Japan’s Metaplanet. However, its current holdings are still modest compared to that goal. In addition, the shares trade in low volumes, which makes the price move sharply on small trades.

What happens next

This story is still developing. All three people plan to challenge the bans at the Financial Services Tribunal. The result of that process will determine whether the bans stand, pause, or get reviewed.

For now, Stafford Masie leads the company. The Bitcoin strategy remains in place. Moreover, Africa Bitcoin Corporation remains the only publicly listed Bitcoin treasury company on the continent. It is navigating a serious leadership challenge at a key point in its story.
